1. Agreement to Terms

By accessing or using CollectIQ AI's accounts receivable automation service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

CollectIQ AI provides AI-powered accounts receivable automation services, including but not limited to:

• Automated follow-up communications for unpaid invoices
• Payment prediction and analytics
• Customer payment behavior insights
• Integration with accounting software platforms
• Multi-channel outreach (email, SMS, phone)

3. Account Registration

To use the Service, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Be at least 18 years of age
• Have the authority to bind your organization to these Terms
• Notify us immediately of any unauthorized use of your account

You are responsible for all activity that occurs under your account.

4. User Responsibilities

When using the Service, you agree to:

• Comply with all applicable laws and regulations, including debt collection laws
• Provide accurate invoice and customer information to the Service
• Review and approve automated communications before they are sent (if applicable to your plan)
• Not use the Service for any illegal or unauthorized purpose
• Not interfere with or disrupt the Service or servers connected to the Service
• Not attempt to gain unauthorized access to any portion of the Service

5. Payment Terms

Subscription Fees

You agree to pay all fees associated with your chosen subscription plan. Fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law.

Price Changes

We reserve the right to change our pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Payment Methods

You must provide valid payment information. By providing payment information, you authorize us to charge all fees to that payment method.

Late Payments

If payment is not received by the due date, we may suspend or terminate your access to the Service until payment is made.

6. Cancellation and Termination

Cancellation by You

You may cancel your subscription at any time with 30 days' notice. Cancellation will be effective at the end of your current billing period. No refunds will be provided for partial months or unused service.

Termination by Us

We may suspend or terminate your account if:

• You breach these Terms
• You fail to pay fees when due
• Your use of the Service poses a security risk
• Your use violates applicable laws or creates liability for us

Effect of Termination

Upon termination, you will lose access to the Service and your data. We will retain your data for 90 days after termination, after which it will be permanently deleted.

7. Intellectual Property

Our IP

The Service, including all software, algorithms, AI models, and content, is owned by CollectIQ AI and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

Your Data

You retain all rights to the data you provide to the Service. You grant us a limited license to use your data solely to provide and improve the Service.

8. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Service will be uninterrupted or error-free
• Warranties regarding the accuracy of AI predictions
• Warranties that the Service will result in specific payment outcomes

We do not guarantee that our AI will successfully collect all outstanding payments or predict payment behavior with 100% accuracy.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COLLECTIQ AI SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from your use or inability to use the Service
• Damages resulting from communications sent through the Service

Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless CollectIQ AI, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Communications sent to your customers through the Service

11. Data Protection and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our collection and use of your data as described in the Privacy Policy.

12. Dispute Resolution

Arbitration
